Terms and Conditions for Prolumios: Sales Call Recording & Meeting Analysis Software

1. Scope of Application

These General Terms and Conditions (T&C) apply to all contracts concluded between Prolumios UG (hereinafter "Prolumios") and users (hereinafter "Customers") of Prolumios' software solutions. By using Prolumios' services, Customers agree to these T&C.

2. Description of Services

Prolumios provides a software solution for recording, transcribing, and analyzing meetings, particularly for sales and marketing teams. The services include:

• Recording of online and offline meetings.

• Automated transcription and summarization of conversations.

• Analysis of conversation data (e.g., talk time, sentiment, key topics).

• Integration with popular CRM and collaboration tools.

3. Conclusion of Contract

The contract is concluded once the Customer subscribes to a paid plan via the Prolumios website or activates a free trial. Prolumios reserves the right to reject applications.

4. Rights of Use

Prolumios grants the Customer a non-exclusive, non-transferable right to use the software within the agreed terms of use. Redistribution of the software to third parties is prohibited.

5. Customer Obligations

The Customer agrees to:

• Use the software only for lawful purposes.

• Comply with all legal and contractual requirements (e.g., data protection regulations).

• Notify Prolumios immediately of any misuse or security breaches.

6. Fees and Payment Terms

• Prices for using Prolumios are listed on the website.

• Payment is made monthly or annually in advance, depending on the chosen subscription model.

• In case of late payment, Prolumios reserves the right to suspend access to the software.

7. Termination

• The Customer may cancel the subscription at the end of the billing period.

• Prolumios may terminate the contract immediately in case of serious violations of these T&C.

• Upon termination, the Customer's right to use the software expires immediately.

8. Liability

• Prolumios is fully liable for intent and gross negligence.

• In case of slight negligence, liability is limited to typical, foreseeable damages.

• Prolumios is not liable for indirect damages (e.g., lost profits).

9. Data Protection

Prolumios processes personal data in accordance with the Privacy Policy. The Customer agrees that Prolumios may use data to fulfill the contract and improve services.

10. Changes to the T&C

Prolumios reserves the right to amend these T&C. Changes will be communicated to the Customer via email or through the website. If the Customer objects within 14 days, the contract will be considered terminated.

11. Final Provisions

• The laws of the Federal Republic of Germany apply.

• The place of jurisdiction is the registered office of Prolumios.

• If individual provisions are invalid, the validity of the remaining provisions remains unaffected.
